Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the DocuNudge platform, services, and applications (collectively, the "Service"), operated by Aezis AI ("we," "our," or "us"). By accessing the platform, uploading documents, or logging into a dashboard, you ("User," "you," or "your") agree to these Terms in full. If you do not agree, do not use the Service.

1. Description of Service and User Roles

DocuNudge provides automated document collection, communication ("nudges"), AI-powered document verification workflows, and financial dashboard integrations.

• Tax Professionals (Subscribers): CPAs, accountants, and tax preparers who purchase a subscription to manage client intake dashboards and financial advisory reviews.
• Clients: Individuals or entities who upload personal and financial documents or connect third-party accounting software to a Tax Professional’s dashboard via our secure links.

2. Document Accuracy and AI Verification Disclaimer

DocuNudge utilizes advanced artificial intelligence (AI) to analyze, categorize, and extract metadata from uploaded tax documents.

• Not Tax Advice: DocuNudge is a data collection and processing tool. We do not provide tax, legal, or accounting advice.
• Verification Responsibility: While our AI is highly accurate, the ultimate responsibility for reviewing, verifying, and confirming the accuracy of all parsed data rests solely on the Tax Professional and the Client.
• Filing Liability: We assume absolutely no liability for errors, omissions, or inaccuracies in tax returns, financial statements, or government filings resulting from incorrect AI parsing, missing data, or user oversight.

3. Acceptable Use and Warranties

You agree that you will use the Service only for lawful purposes.

• Authorization: If you are a Client uploading documents or connecting accounting software, you warrant that you are the legal owner of or are explicitly authorized to provide those documents and accounts, and that they are accurate to the best of your knowledge.
• Security Prohibitions: You must not upload malicious code, viruses, or trojans, nor attempt to bypass Firebase Security Rules or exploit the API. We reserve the right to flag, reject, or permanently delete materials that threaten platform security.

4. Intellectual Property

We own all rights, title, and interest in and to the Service, including the software, database architecture, interface designs, logos, and proprietary AI workflows. Your use of the Service grants you a limited, non-exclusive, non-transferable right to access the platform, with no transfer of underlying intellectual property rights.

5. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE COMPLETELY ERROR-FREE, UNINTERRUPTED, OR THAT THE AI EXTRACTION WILL BE 100% ACCURATE IN EVERY INSTANCE.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AEZIS AI, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SERVICE SHALL BE STRICTLY LIMITED TO THE GREATER OF $100 OR THE TOTAL FEES PAID BY YOU TO US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7. Indemnification

You agree to indemnify, defend, and hold harmless Aezis AI and its officers from and against any claims, damages, liabilities, or losses arising from your breach of these Terms, your misuse of the Service, or any third-party claims resulting from tax documents or data you uploaded or processed through the platform.

8. Termination and Data Erasure

Tax Professionals may cancel their subscription at any time. Client data is securely retained to fulfill the intake lifecycle and may be archived or permanently wiped upon the request of the managing Tax Professional or in accordance with our data retention schedule after the conclusion of the tax season.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any legal action arising under these Terms must be filed in the state or federal courts located in Maryland.

10. Third-Party Integrations and QuickBooks Online

DocuNudge allows Tax Professionals and Clients to connect third-party platforms, including Intuit QuickBooks Online.

• Authorization & Scope: By connecting your QuickBooks Online account, you authorize DocuNudge to securely access, retrieve, and ingest financial statements (including Profit & Loss, Balance Sheet, and Cash Flow statements) via Intuit OAuth 2.0 on your behalf.
• Independent Service: DocuNudge is developed and operated independently by Aezis AI. DocuNudge is not affiliated with, sponsored by, or endorsed by Intuit Inc. QuickBooks and QuickBooks Online are registered trademarks of Intuit Inc.
• Advisory & Analytical Disclaimer: All AI-generated financial KPIs, health scores, cash runway metrics, and Fractional CFO advisory summaries are provided strictly for informational and business planning purposes. They do not constitute certified financial statements, formal audits, or certified accounting opinions.
